Reward Builder Plus Terms and Conditions
Reward Plus (“Plus”) is provided by Energy Earth, LLC d/b/a EE Incentives (“EE Incentives”). Below are the Plus subscription terms and conditions (“Plus Terms”). Please read them carefully and retain them for your records. By subscribing to Plus, you (“You” or “Your’) agree to abide by the Plus Terms. The Plus Terms are subject to change without notice and supersede any and all previous terms and conditions with respect to the subject matter hereof.
Reward Builder Plus Terms and Conditions
Plus Subscription. Your Plus subscription provides additional features for EE Incentives’ standard Reward Builder incentive platform (“RB Standard”). Your Plus subscription will automatically renew until You cancel Your subscription. Plus features are only available to You while Your Plus subscription is active.
Payment Methods. To subscribe to Plus, You must provide a payment method such as a credit card or bank account (“Payment Method”). You authorize EE Incentives to charge any Payment Method associated with Your Plus subscription for payment of Your Plus subscription. If Your Payment Method is declined or EE Incentives is unable to charge Your Payment Method, Your Plus subscription and access to Plus features will be suspended until a Payment Method is successfully charged for Your Plus subscription.
Billing Cycle. You may choose a monthly or annual Plus subscription. Your Payment Method will be charged at the time You initially subscribe to Plus, and Your next Plus subscription billing date will be shown on Your Plus subscription page. EE Incentives will charge taxes where required by law.
Cancellation. You may cancel Your Plus subscription at any time by following the cancellation instructions on Your Plus subscription page. You will continue to have access to Plus features through the end of Your current Billing Cycle, and Your Plus subscription page will indicate the date Your Plus subscription will end. Payments for Plus subscriptions are nonrefundable, and there are no refunds or credits for partially used monthly or annual Plus subscriptions.
Changes to Reward Builder Plus Subscription Pricing. EE Incentives may change Plus features and Plus subscription pricing from time to time. EE Incentives will notify You at least thirty (30) days prior to any substantial Plus feature change or any Plus subscription price change. If You do not wish to accept the substantial feature change or price change to Your Plus subscription, You may cancel Your Plus subscription before the substantial feature change or price change takes effect.
Promotional Trials. EE Incentives may from time to time offer a trial or promotional Plus subscription (“Promotion”). Eligibility to participate in a Promotion is determined by EE Incentives at its sole discretion. Promotions will be subject to these Plus Terms except as otherwise stated in the Promotion.
Disclaimers and Exclusions. EE Incentives does not represent or warrant the accuracy, reliability, quality or content of any information, service or merchandise provided by any EE Incentives service, or that RB Standard, Plus and/or any EE Incentives’ website, will be uninterrupted or free of inaccuracies or errors. EE Incentives makes no warranties other than those made expressly in these Terms, and hereby disclaims any and all implied warranties, including without limitation, warranties of fitness for a particular purpose, merchantability and non-infringement. EE Incentives will not be liable to You or any third party for any consequential, incidental, indirect, punitive or special damages arising out of, relating to or connected with the use of the EE Incentives service, including but not limited to, RB Standard, Plus and/or any EE Incentives’ website, based on any cause of action, even if advised of the possibility of such damages.
Intellectual Property. You agree that You shall have no rights to or interests in EE Incentives’ Intellectual Property. For the purposes of these Terms, “Intellectual Property” includes any proprietary know-how, software, trademarks, service marks, logos, trade dress, copyrights, patented and unpatented inventions, discoveries, trade secrets, information, reports, methods, practices, designs, processes, procedures, ideas, documentation, business plans, services, or databases developed, conceived or used by EE Incentives. You grant to EE Incentives a non-exclusive, royalty-free license during the Term of this Agreement to utilize Your Intellectual Property solely as necessary to allow EE Incentives to perform its obligations under these Terms.
Miscellaneous. You agree to defend, indemnify and hold harmless EE Incentives, its affiliates, successors and assigns, and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys’ fees, arising out of the use of RB Standard, Plus and/or any EE Incentives’ website; and/or use of any EE Incentives service. EE Incentives may assign the Terms to a third party at any time without notice to You. The Terms are not assignable or transferable by You without the prior written consent of EE Incentives. The Terms supersede all prior terms and conditions. No failure or delay by a party in exercising any right, power or privilege under the Terms will operate as a waiver thereof, nor will any single or partial exercise of any right, power or privilege preclude any other, or further exercise thereof or the exercise of any other such right, power, or privilege.
Governing Law. The Terms will be governed by the laws of the State of Tennessee, without regard to conflict of law principles. Whenever possible, each provision shall be interpreted in such a manner as to be effective and valid under applicable law, but if any provision is held to be invalid, illegal or unenforceable under any applicable law or rule, the validity, legality and enforceability of the other provisions herein will not be affected or impaired thereby. The Terms, or any portion thereof, shall be subject to applicable law and void where prohibited by law.
